By visiting our website and accessing the information, resources, services, products, and tools we provide, you understand and agree to accept and adhere to the following terms and conditions as stated in this policy (hereafter referred to as the 'User Agreement'), along with the terms and conditions stated in our Privacy Policy.

This User Agreement is effective as of 11/12/1997. We reserve the right to change this User Agreement from time to time without notice. You acknowledge and agree that it is your responsibility to review this User Agreement periodically to familiarize yourself with any modifications. Your continued use of this site after such modifications will constitute acknowledgment and agreement of the modified terms and conditions.

Section 1: Responsible Use and Conduct

By visiting our website and accessing the information, resources, services, products, and tools we provide for you, either directly or indirectly (hereafter referred to as 'Resources'), you agree to use these Resources only for the purposes intended as permitted by (a) the terms of this User Agreement, and (b) applicable laws, regulations and generally accepted online practices or guidelines. We may provide various open communication tools on our website, such as blog comments, blog posts, public chat, forums, message boards, newsgroups, product ratings and reviews, various social media services, etc. You understand that we do not generally pre-screen or monitor the content posted by users of these various communication tools, which means that if you choose to use these tools to submit any type of content to our website, then it is your personal responsibility to use these tools in a responsible and ethical manner. We have the right at our sole discretion to remove any content that we feel in our judgment does not comply with this User Agreement, along with any content that we feel is otherwise offensive, harmful, objectionable, inaccurate, or violates any third-party copyrights or trademarks. We are not responsible for any delay or failure in removing such content. If you post content that we choose to remove, you hereby consent to such removal and waive any claim against us.

h. We do not assume any liability for any content posted by you or any other third-party users of our website. However, any content posted by you using any open communication tools on our website, provided that it doesn't violate or infringe on any third-party copyrights or trademarks, becomes the property of LAC Healthcare Solutions, and as such, gives us a perpetual, irrevocable, worldwide, royalty-free, exclusive license to reproduce, modify, adapt, translate, publish, publicly display and/or distribute as we see fit. This only refers and applies to content posted via open communication tools as described and does not refer to information that is provided as part of the registration process, necessary to use our Resources. All information provided as part of our registration process is covered by our privacy policy.

i. LAC Healthcare Solutions will not be liable for any direct, indirect, incidental, consequential, or exemplary loss or damages which may be incurred by you as a result of using our Resources, or as a result of any changes, data loss or corruption, cancellation, loss of access, or downtime to the full extent that applicable limitation of liability laws apply.

Furthermore, any action to enforce this User Agreement shall be brought in the federal or state courts located in Fairfax, Virginia, United States. You hereby agree to personal jurisdiction by such courts and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

Section 8: Payment Terms

As a customer of LAC Healthcare Solutions, you agree to pay for items purchased in accordance with the agreed-upon terms. By default, all new accounts shall be required to submit a valid credit card for payment. At the sole discretion of LAC Healthcare Solutions, a customer may be granted terms for payment in the form of bank wire transfer or company check based on creditworthiness. In the event that your company or organization is granted terms for payment, you agree to pay the full amount on or before the invoice due date. If payment is not received by the due date, you agree that LAC Healthcare Solutions may charge your credit card in the amount due, and if payment is still not fully received, may also procure the services of a third-party firm to collect. Section 9: Returns & Cancellations

Most stocked products provided by LAC Healthcare Solutions are returnable within 30 days from the date of shipment. Non-stock, special order, and manufacturer drop-ship items are not returnable, and often may not be cancelled once submitted. In the event that a product return is the result of incorrectly-shipped or damaged goods, LAC Healthcare Solutions will provide a full refund by physical check for the product(s) in question, as well as inbound & outbound shipping fees. In the event of customer error, product will be refunded by physical check upon receipt of the returned goods, minus shipping fees and fifteen percent of total product value in the event that the item is classified as a returnable item with the manufacturer in question. Certain items restricted by manufacturer return policy are non-returnable and non-refundable. Certain stocked items, governed by restrictive manufacturer delivery policy, once ordered may not be cancelled except in severe backorder situations and may incur significant cancellation fees of up to $50 per item if it may be cancelled. Should a customer wish to inquire as to the return or cancellation policy for a particular item prior to ordering, requests may be submitted to [email address].

Section 10: Guarantee

UNLESS OTHERWISE EXPRESSED, LAC Healthcare Solutions EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Section 11: Dispute Resolution and Arbitration Agreement

a. Arbitration Agreement

Any disputes or claims relating in any way to your use of our website, our services, or to any products or services sold or distributed by LAC Healthcare Solutions or through https://lac.us, will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. This includes any claims you may bring against our affiliates, officers, directors, employees, agents, or other representatives.

b. Arbitration Rules and Governing Law

Arbitration shall be conducted by the American Arbitration Association (AAA) under its rules, including the AAA's Supplementary Procedures for Consumer-Related Disputes. The arbitration shall be held in Fairfax, Virginia, or at another mutually agreed location. The AAA rules are available at www.adr.org or by calling 1-800-778-7879. The statutes and laws of Virginia, without regard to the conflict of laws and the United Nations Convention on the International Sales of Goods, will apply to all matters relating to the arbitration.

c. Waiver of Class Actions

To the fullest extent permitted by applicable law, you and LAC Healthcare Solutions agree to bring any dispute only in an individual capacity, and not on behalf of, or as part of, any purported class, consolidated, or representative proceeding. Arbitrators can only award relief on an individual basis, and they may not award relief against LAC Healthcare Solutions for any other person or entity.

d. Costs of Arbitration

Each party will be responsible for their own costs and fees associated with arbitration. However, if the arbitrator finds that the arbitration was not frivolous, LAC Healthcare Solutions will pay the fees charged by the AAA, including the arbitrator fees.

e. Severability

If any part of this Arbitration Agreement is found to be invalid or unenforceable, the remaining portions will remain valid and enforceable.

Section 12: Additional Terms

a. Force Majeure

LAC Healthcare Solutions shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

b. Assignment

You may not assign or transfer your rights or obligations under this User Agreement without the prior written consent of LAC Healthcare Solutions. Any assignment or transfer in violation of this clause shall be null and void.

c. Severability

If any provision of this User Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

d. No Waiver

Our failure to enforce any right or provision of this User Agreement will not be considered a waiver of those rights.

e. Entire Agreement

This User Agreement constitutes the entire agreement between us regarding our website and supersedes and replaces any prior agreements we might have had between us regarding the website.
